Terms of Service

Personal accounts.

These terms are an agreement between you and Djoubi GmbH, a German limited liability company with its seat in Kleve, registered with the commercial register of the Amtsgericht Kleve under HRB 11864, business address Ilexweg 55, 50769 Cologne, Germany ("Zeami", "we", "us"), for the personal edition of Zeami. By creating an account you agree to them.

If an organization gave you your account (for example your employer), these terms don't apply to you. The organization's agreement with us governs, and its own workplace notice covers how your tracked data is handled.

1. What Zeami is

A desktop app and connected service that tracks how you use your computer, when you choose to track, and uses AI to turn that activity into time totals, workflows, reports, and chat features. What we collect and how we handle it is described in the Privacy Notice at zeami.io/privacy, which is part of these terms.

2. Who can use it

You must be at least 18 years old and able to enter a contract. You may only use it for yourself and on devices you own or are authorized to manage.

3. Your account

Keep your login credentials to yourself and tell us promptly if you think your account is compromised. You're responsible for activity under your account. Give us accurate information and keep it current.

4. Tracking and your controls

Tracking starts only when you start it and stops when you stop it, log out or quit. You can exclude apps, sites and keywords with Privacy Lists, and turn copy and paste capture off in Settings. If other people use a device while your tracking is on, their activity becomes part of your data, so do not track a shared device without telling the people who use it, and get their consent where the law requires it.

5. Plans and billing

The personal edition of Zeami is free to use today. There is no paid plan for it, we do not collect a payment method, and no payment processor is connected, so nothing in the product can charge you for a personal account. Organizations that buy Zeami for their staff are billed under their own agreement with us; these terms do not cover that.

Free access is part of an early phase and is not permanent. If we introduce paid plans, we will tell you at least 7 (seven) days beforehand and explain what it means for existing free accounts, which may include needing a paid plan to carry on using Zeami. We will never charge you without you first choosing a plan and agreeing to its price.

6. AI features

Much of what Zeami shows you is generated by AI, including workflow names and groupings, summaries, time and cost estimates, and answers in Ask AI and chat channels.

• AI output can be wrong, even when it looks precise or confident.
• Don't treat it as a sole source of truth, and don't treat it as professional advice.
• Review output before relying on it or sharing it. Time and cost figures are estimates, not payroll, billing or legal records, unless you verify them yourself.
• Don't use AI output as the only basis for a decision with a legal or similarly significant effect on a person (for example employment, pay, lending or housing) without review by a qualified person.
• Chat surfaces in Zeami are AI, not humans, and are labeled as such.

7. Acceptable use

You agree not to:

• use Zeami to break the law or violate someone's rights;
• track a person without the notice or consent the law requires, or use Zeami to stalk or spy on anyone;
• install it on a device you don't own or aren't authorized to manage;
• probe, overload, or interfere with the service, or access it other than through the app and interfaces we provide;
• reverse engineer the software except where the law gives you that right;
• resell the service or use it to build a competing dataset or product.

8. Your data

Your tracked data is yours. You give us the license we need to host, process and display it to run the service, including the AI processing described in the Privacy Notice. We may use de-identified data to improve the service, as described there. If you send us feedback, we can use it without obligation to you.

9. Our property

The software, service and brand are ours or our licensors'. These terms give you a personal, non-transferable right to use the app and service; they don't transfer any ownership.

10. Third-party services

The service runs on third-party providers for hosting, AI and email. Where you connect third-party accounts, including messaging channels such as Telegram, WhatsApp or Slack, their terms govern your relationship with them, and you are responsible for your own compliance with those terms; we are not a party to it.

11. Ending things

You can stop using Zeami at any time. To delete your account, write to support@zeami.io from the address on the account. We will confirm the request, delete the account and its data from live systems within 30 days, and tell you when it is done; copies can remain in our backups for a further 30 days, after which they expire. What happens to your data is described in the Privacy Notice. We can suspend or end your access if you materially breach these terms, if we must for legal or security reasons, or if we discontinue the service, in which case we will give you reasonable notice where practicable. Sections 8, 9, 12, 13, 14, 15 and 17 survive.

12. Disclaimers

The service is provided as is and as available. We don't promise it will be uninterrupted, error-free, or that its output will be accurate. To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Some places don't allow these disclaimers, so parts may not apply to you.

13. Limitation of liability

To the extent the law allows, neither side is liable for indirect, incidental, special, consequential or punitive damages, or lost profits, data or goodwill. Our total liability for all claims under these terms is capped at the greater of the amounts you paid us in the 12 months before the claim and USD 100. These limits do not apply where the law does not allow them, including for gross negligence, willful misconduct, or death or personal injury.

14. Indemnity

To the extent permitted by law, you will defend and cover us against third-party claims that arise from your unlawful use of the service, including tracking someone without required notice or consent, or from your breach of section 7.

15. Governing law and disputes

These terms are governed by German law. If you are a consumer, that does not take away the protection given to you by the mandatory law of the country you live in.

Disputes go to the courts of Cologne, Germany. If you are a consumer you may also bring a claim in the courts of the country you live in, and we will bring any claim against you there. The European Commission runs an online dispute resolution platform at ec.europa.eu/odr. We are not willing or obliged to take part in dispute resolution proceedings before a consumer arbitration board. Nothing here stops either side from asking a court for an injunction over misuse of the service or of intellectual property.

16. Changes to these terms

We may update these terms. For material changes we will give you at least 7 days' notice in the app or by email. If you keep using the service after the change takes effect, the new terms apply. If you do not agree, cancel before then.

17. General

These terms and the Privacy Notice are the whole agreement between us about the service. If part of them is unenforceable, the rest stands. We may assign this agreement as part of a merger or sale; you may not assign it. Not enforcing a term is not a waiver of it.
